Special Investment Opportunity
Joint Venture
This high-level overview outlines how investors engage in a joint venture with WestUrban.
>
A Limited Partnership Agreement (LPA) is formed between the General Partner (WestUrban) and potential investors for a specific project
>
Investors become Limited Partners (LPs) by investing equity into the project, up to the required 20% of construction costs
>
If land is brought into an LPA, the land value is treated as equity and is based on a third-party appraisal
>
As the General Partner, WestUrban leads and manages the Limited Partnership and constructs the project, to hold the buildings for rent or sale after construction is complete
>
WestUrban controls project decisions
>
LPs are not involved in the day-to-day running of the project while under construction
>
LPs are paid original investment on long-term debt financing or on the sale of the project.
>
Profits with list are paid out on the sale of a project

Joint Venture Investment Scenario

Joint venture investors get higher returns
This scenario outlines the structure of a joint venture project. Actual returns on a joint venture would be confirmed through an LPA.
Example
Project construction costs are approximately $20 million. Project equity required is 20% of construction costs, or $4 million.

If an LP invests the full 20%,
they receive 50% of the net profits. The return of net profits is approximately double the initial 20% invested.

An LP gets their full investment back
when the project is complete and long-term debt financing is secured or the development is sold, whichever comes sooner.

If the project is held and rented
, LPs are paid 50% of the net cash flow quarterly.

If the project is sold
, LPs are paid 50% of the net profit.

Investment Opportunities
Meet with us to hear the latest investment opportunities.
> Limited Partnership (LP) Review
- Review Limited Partnership Agreement to understand your rights and responsibilities as an investor. Sign a Non-Disclosure Agreement, and we will provide project financial information.
> Move Forward
- Share your investor details with WestUrban and our lawyer to satisfy BC Securities legal requirements.
Choose which project and how much you want to invest.
> Over $675M in project funding raised:
- Legal documents provided by WestUrban’s lawyer for signature. We’ll send you instructions on wiring fund to the LP bank account provided.
> Contribute Your Capital
- Investment will be held in trust by WestUrban’s lawyer.


Welcome to the LP
Upon review of all documents, you will be accepted into the Limited Partnership.
> Investor Records
- Final signed documents and digital copy of unit certificate provided to you.
> Quarterly Updates
- Once construction begins, quarterly operational updates will be sent.
> Annual Financial Reviews
- An annual review will be conducted by 3rd party accountants and shared with investors.
> Return of Investment*
- Your capital will be returned when the building is rented up and mortgaged, typically within 18 months. You will continue to earn profits quarterly on net income and have a carried interest of the completed project.

Your Return on Investment
Early investors get preferred returns
The “waterfall” of profits comes from the Limited Partnership
structure created for each building project.

1. Preferred Returns
Investors that put funds in when we purchase land can earn a “Preferred Return”, currently at 8%.

2. Investor’s capital is returned
After construction is completed, long-term mortgage is put in place or the building is sold.

3. Profit is distributed
Profit is distributed each quarter after building is completed and being rented.
LAND OWNER PROGRAM

Additional Opportunity for Landowners
Let us develop your land so you can get a higher return. If you own land in a highly-desirable area, we can help you develop it and make a higher return, compared to just selling your land for market price
We’ll work with you and a mutually agreed upon third party appraiser to assess the value of your land, and you’ll get cash back for its market value as well as added returns when the building is occupied and/or sold.

Sean Roy MCP, MCIP, RPP
President and Chief Executive Officer
Over the last 20 years, Sean has developed over 9,000 apartment units, multiple large-scale commercial developments, and over 500 single family homes across Western Canada. He has led teams of over 300 employees, and built over a billion dollars of hard assets for rental companies.

Terry Hoff
Chief Operating Officer
Terry oversees all WestUrban operations and works closely with our team. He brings over 37 years of management experience in the pulp and paper and oil and gas industries. He focuses on delivering our products safely and efficiently, and developing stakeholder relationships.

Raj Wirk
Managing Director of WestUrban Capital Management
Prior to joining WestUrban Capital, Raj led the Vancouver Island Commercial Banking team for Coast Capital Savings Credit Union. This included their Commercial Real Estate platform, which specialized in the full range of residential and commercial construction and term financing, as well as their Business Banking platform, which specialized in financing a diversified range of operating businesses. Raj has held senior level positions in banking for over 15 years, previously with Royal Bank of Canada in Toronto, and Bank of Montreal and HSBC in Vancouver.
